Terms of Service

1. Definitions

1. "Workspace" means the unit in which you manage forms and messages in the Service.
2. "Form" means a form you place on your own website or elsewhere that sends its contents to a Service endpoint URL.
3. "Sender" means a third party who sends a message to you through a Form.
4. "Message" means the information a Sender submits through a Form.
5. "Paid Plans" means the Pro and Business plans.

2. Agreement

1. You agree to these Terms before using the Service. By signing up, you are deemed to have agreed to them.
2. If you use the Service on behalf of a company or other organization, you represent that you have authority to agree to these Terms on its behalf.

3. Accounts

1. You create an account by registering your email address and other information in the manner we specify.
2. You must keep your information accurate and manage your account at your own responsibility. Actions taken with your account are deemed to be your actions.
3. Minors must obtain the consent of a legal guardian before using the Service.

4. Fees and payment

1. The fees for Paid Plans are as shown on the pricing page. Displayed prices include consumption tax and other applicable taxes.
2. Fees for Paid Plans are paid by card through our payment processor, Stripe.
3. Paid Plans renew automatically every month (monthly billing) or every year (yearly billing), counted from the date you subscribe, and the fee for the next period is charged on the renewal date.
4. If we change our fees, we will notify you at least 30 days in advance. New fees apply from the first period that begins on or after the change.

5. Plan changes and cancellation

1. You can change your plan or cancel a Paid Plan at any time from the dashboard.
2. Upgrades take effect immediately and the prorated difference for the rest of the current period is charged. Downgrades and switches from yearly to monthly billing take effect at the end of the current period.
3. If you cancel a Paid Plan, you can keep using it until the end of the current period, and no further fees are charged.
4. Fees already paid are not refunded except as required by law, including no prorated refunds for cancellation in the middle of a period.
5. If a renewal payment fails, we retry the charge for a certain period. If it still fails, we cancel the Paid Plan and move the Workspace to the Free plan.
6. Moving to a lower plan does not delete existing Messages or Forms, but features beyond the new plan's limits become unavailable.

6. Limits and the Free plan

1. Monthly volume, viewable history, features and other limits for each plan are as shown on the pricing page.
2. Messages received beyond the monthly volume are still accepted without AI sorting and are emailed according to your notification settings.
3. On the Free plan, Messages are deleted 90 days after they are received.

7. Handling of Messages

1. As the operator of a Form, you are the party that collects Messages from Senders, and you are responsible to Senders for notifying or publishing the purpose of use and for other obligations under applicable data protection laws.
2. We handle Messages on your behalf, as your service provider, only to the extent necessary to provide the Service. We do not use Messages for any other purpose and do not use them to train AI models.
3. Our handling of personal information is described in our Privacy Policy.
4. You must not use Forms to collect card numbers, passwords or other credentials, or sensitive personal information.

8. AI features

1. The Service uses AI to rate the importance of Messages, add tags, summarize them and draft replies.
2. AI results may contain errors. Treat them as a reference and decide how to respond after checking the Messages yourself.
3. The information used for AI processing and the providers that process it are described in our Privacy Policy.

9. Prohibited conduct

When using the Service, you must not:

1. violate laws or public order and morals;
2. engage in conduct related to criminal acts;
3. infringe the rights or interests of Senders or other third parties;
4. use the Service to send spam, impersonate others, phish, or for any other fraudulent purpose;
5. collect personal information without the Sender's consent or under a false purpose;
6. place excessive load on the Service, gain unauthorized access, or exploit vulnerabilities;
7. disassemble, decompile or reverse engineer the Service;
8. transfer or lend your account to a third party;
9. impersonate us or any third party; or
10. engage in any other conduct we reasonably consider inappropriate.

10. Changes to and suspension of the Service

1. We may change or discontinue the Service. If a change or discontinuation significantly affects you, we will notify you a reasonable time in advance.
2. We may suspend all or part of the Service without notice for maintenance, failures, natural disasters or other unavoidable reasons.

11. Suspension of use

If you breach these Terms, fail to pay fees, or we otherwise consider it necessary, we may suspend your use of the Service or delete your account without notice.

12. Closing your account

1. You can close your account at any time by contacting us.
2. When you close your account, we delete your Workspace data within 30 days, except information we must retain by law, which we keep for the required period.

13. Disclaimer

We do not guarantee that the Service fits your particular purpose, has the accuracy or usefulness you expect, is free of defects, or that every notification will be delivered.

14. Limitation of liability

1. If you suffer damage for reasons attributable to us, we are liable up to the total fees you paid us for the Service in the 12 months before the month in which the damage occurred.
2. The preceding paragraph does not apply in cases of our willful misconduct or gross negligence.

15. Intellectual property

1. Intellectual property rights in the Service belong to us or the rightful owners.
2. Rights in Messages and other data you register in the Service belong to you or the rightful owners. We use them only as necessary to provide the Service.

16. Exclusion of antisocial forces

You represent and warrant that you are not, and will not become, a member of an organized crime group or any similar person or group. If you breach this, we may suspend your use of the Service or delete your account without notice.

17. Changes to these Terms

We may change these Terms in accordance with Article 548-4 of the Civil Code of Japan. We will announce the new Terms and their effective date in the Service, or notify you, a reasonable time before they take effect.

18. Notices

We send notices to your registered email address or post them in the Service.

19. Assignment

You may not assign your position or your rights and obligations under these Terms to any third party without our written consent.

20. Governing law and jurisdiction

These Terms are governed by the laws of Japan. Any dispute relating to the Service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
